MITI is a wholly-owned subsidiary of Metromedia International Group, Inc. (AMEX:MMG) and owns 50% of ZAO Alma-TV through ITI. In a letter from the Communications and Information Committee of the Kazakhstan Ministry of Transport and Communications, the Ministry has demanded that MITI, the foreign shareholder of Alma-TV, will be required to reduce its ownership to a maximum of 20% due to Kazakh laws on mass media and national security which were enacted in 1998 and 1999. This demand is a condition of extending the license of Alma-TV beyond April 1. According to the Ministry, the 1998 and 1999 laws require government registration of all media companies, a mass media certificate and that foreign shareholdings do not exceed 20% of a registered mass media company. MITI believes that Alma-TV is not a mass media company under the Kazakh law because it is a cable television system that only retransmits third-party programs and does not produce any original programming. Moreover, Kazakh law does not specify a mass media certificate as one of the documents required to be submitted as part of a filing for licensing of a cable TV system not producing original programming.
Finally, under the terms of the Kazakhstan-United States Bilateral Investment Treaty, MITI believes that its 50% interest in Alma-TV is exempt from these foreign ownership restrictions. As a result, MITI intends to vigorously defend the full extent of its equity interest in Alma-TV and does not intend to reduce its ownership share. Unless an agreement can be reached with the Ministry of Transport and Communications to renew its operating license, the risk remains that Alma-TV's operations will be terminated after April 1, which could leave over 60,000 subscribers in Almaty and the Almaty region without cable television service. About Alma-TV Alma-TV operates multiple cable systems in the capital city of Almaty and surrounding areas (MMDS and HFC), Aktau, Karaganda and Ust-Kamenogorsk and had a total of nearly 100,000 subscribers in Kazakhstan at September 30, 2001. The Almaty network is a 750Mhz network with over 70 channels of capacity and has a fiber backbone of three fiber rings.
